These Terms and Conditions (“Terms”) govern the use of services provided by Aethera Healthcare Solutions Private Limited (“Company,” “we,” “our,” or “us”). By accessing or using our services, website, or engaging with us for healthcare administrative or revenue cycle management services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our services.

  

1. Services

Aethera Healthcare Solutions Private Limited provides healthcare administrative and support services, including but not limited to:

  • Medical      billing and coding
  • Claims      submission and processing
  • Eligibility      and benefits verification
  • Prior      authorization support
  • Accounts      receivable management
  • Provider      credentialing support
  • Healthcare      consulting and administrative services

We do not provide medical advice, diagnosis, or treatment.

  

2. Eligibility

You must be legally authorized to enter into agreements and use our services. If you are using our services on behalf of a healthcare organization, you represent that you have authority to bind that organization.

  

3. Compliance with Laws

Both parties agree to comply with all applicable federal and state laws, including:

  • Health      Insurance Portability and Accountability Act (HIPAA)
  • HITECH      Act
  • Healthcare      fraud and abuse laws
  • Applicable      billing and coding regulations
  • State      healthcare regulations

Where applicable, the parties will execute a Business Associate Agreement (BAA).

  

4. Client Responsibilities

Clients agree to:

  • Provide      accurate and complete information
  • Maintain      required licenses and authorizations
  • Ensure      medical documentation accuracy
  • Respond      promptly to information requests
  • Review      submitted claims and reports
  • Comply      with payer regulations

The Company is not responsible for claim denials resulting from inaccurate or incomplete information provided by the Client.

  

5. Fees and Payment

Fees for services will be outlined in a separate Service Agreement or Statement of Work (SOW).

Unless otherwise stated:

  • Payments      are due within [30] days of invoice
  • Late      payments may incur penalties or service suspension
  • Client      is responsible for applicable taxes

  

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, financial, and healthcare information.

Confidential information shall not be disclosed except:

  • As      required by law
  • With      written authorization
  • For      service performance purposes

  

7. Protected Health Information (PHI)

If services involve Protected Health Information (PHI):

  • The      Company will implement safeguards consistent with HIPAA
  • Access      to PHI will be limited to authorized personnel
  • PHI      will only be used for permitted purposes
  • A      Business Associate Agreement will govern PHI handling

  

8. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect data. However, no system is completely secure, and we do not guarantee absolute security.

  

9. Intellectual Property

All materials, software, workflows, documentation, and processes provided by the Company remain the intellectual property of the Company unless otherwise agreed in writing.

Clients may not copy, distribute, or reverse engineer Company materials without permission.

  

10. Service Availability

We strive to provide uninterrupted services but do not guarantee continuous or error-free operation. Maintenance, system updates, or unforeseen events may cause temporary disruptions.

  

11. Limitation of Liability

To the maximum extent permitted by law:

  • The      Company shall not be liable for indirect, incidental, special, or      consequential damages.
  • Total      liability shall not exceed the amount paid by the Client for services in      the preceding [12] months.

The Company is not responsible for:

  • Insurance      payer decisions
  • Claim      denials due to clinical documentation issues
  • Regulatory      changes affecting reimbursement

  

12. Indemnification

Client agrees to indemnify and hold harmless the Company from claims arising from:

  • Inaccurate      data provided by Client
  • Client’s      regulatory violations
  • Medical      decisions or treatment provided by Client
  • Breach      of these Terms by Client

  

13. Termination

Either party may terminate services:

  • With      written notice of [30] days
  • Immediately      for material breach
  • Immediately      for legal or regulatory violations

Upon termination:

  • Outstanding      payments become due
  • Data      will be returned or destroyed per agreement and law

  

14. Force Majeure

Neither party shall be liable for delays or failure caused by events beyond reasonable control, including:

  • Natural      disasters
  • Cyberattacks
  • Government      actions
  • War
  • Pandemics
  • Infrastructure      failures

  

15. Governing Law

These Terms shall be governed by the laws of the State of [Insert State, USA], without regard to conflict of law principles.

  

16. Dispute Resolution

Disputes shall first be attempted to be resolved through good-faith negotiation.

If unresolved, disputes may be settled by:

  • Arbitration      in [State]
        or
  • Courts      located in [State]

  

17. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date.

Continued use of services constitutes acceptance of updated Terms.

  

18. Entire Agreement

These Terms, along with any Service Agreement, Statement of Work, or Business Associate Agreement, constitute the entire agreement between the parties.
